Terms of Service

These terms apply to services provided by 2nd Code (GSTIN 09AVYPN9810A2Z4). Specific projects may have a separate written proposal; where it differs, the proposal applies.
Quotes and scope
Every project starts with a written scope and quote. Work outside the agreed scope is quoted separately before it starts.
Payments
Projects typically follow a 50% advance, 25% at a midway milestone and 25% on completion. Larger projects may use custom milestones. Prices are in INR unless agreed otherwise; GST applies as per law.
Client responsibilities
Clients provide content, logins, approvals and feedback on time, and confirm they have the rights to any content, images and trademarks they supply.
Ownership
After full payment, the client owns the website or software built specifically for them, including its content and data. Third-party components, libraries, hosting and APIs remain subject to their own licences. Reusable internal tools of 2nd Code (such as our APIs) are licensed, not transferred.
Support and maintenance
Post-launch support covers fixes for defects in the delivered work for the agreed period. New features, content updates and ongoing maintenance are offered under a separate plan.
Third-party services
We are not responsible for outages, policy changes or pricing changes by hosting providers, payment gateways, app stores or API suppliers, but we will help you respond to them.
Liability
Our total liability for any project is limited to the amount paid for that project.
Governing law
These terms are governed by the laws of India, with jurisdiction in Lucknow, Uttar Pradesh.
